Licence agreement and terms of sale

Part A: Licence agreement

1. Parties and definitions

This agreement is between KedaiPabz (SSM registration in progress) ("we", "us") and the person or business that buys a licence ("you"). You accept it by ticking the box in the setup wizard or by using the Software.

• Software: KedaiPabz Kit, including its installer, updates and documentation.
• Licence: your right to use the Software under this agreement, identified by a licence number (for example LIC-00001).
• Main Key and Backup Key: the 32-character and 16-character keys issued with your Licence. Keep them private.
• Domain: the one domain or subdomain registered to your Licence.
• Store: the website you run on that Domain using the Software.
• Plan: Starter, Pro or Ultimate, as bought or renewed.
• Licence Period: the 1, 6 or 12 months you paid for.

2. Licence grant and restrictions

We grant you a non-exclusive, non-transferable licence to run one Store on one Domain during the Licence Period. The Software is licensed, not sold; we keep all ownership and intellectual property in it.

You may:

• Change your Store's name, logo, colours, content and prices through the admin and Branding page.
• Edit the code for your own Store, at your own risk (see section 7).
• Move your Licence to a new Domain with your Backup Key or by asking us. We may limit this to 2 moves per Licence Period.

You may not:

• Run the Software on more than one Domain, or on a Domain not registered to your Licence.
• Sell, share, rent, give away or publish the Software, its code or your keys.
• Remove, bypass or tamper with the licence check, the updater's signature check or the "Powered by" line.
• Use the Software to build or sell a competing store script.
• Use the Store for anything illegal under Malaysian law.

Breaking these terms lets us suspend or end your Licence under section 8, without refund.

3. Plans, subscription and renewal

Your Licence lasts for the Licence Period you paid for. It does not renew automatically; you renew it on our renewal page before it expires.

Plan prices include no support. Support is an optional add-on: RM149 for 1 month, on any Plan and Licence Period (see section 7).

• A renewal adds time from your current expiry date, or from the payment date if already expired.
• You can change Plan when you renew. The new Plan applies once payment clears.
• We may change prices for future renewals with at least 30 days' notice. A Licence Period already paid is never repriced.

4. Expiry, grace, lock and shutdown

If you don't renew, your Store goes through these stages automatically. Renewing at any stage restores it in full, usually within minutes.

1. 7 days before expiry: a renewal reminder shows in your admin.
2. Expiry day: your 3-day grace period starts. The Store keeps working normally, with a banner in your admin.
3. 3 days after expiry: the Store is locked. Your admin is frozen and no new orders can be placed, but customers can still see their orders and redeem PINs they already paid for.
4. 30 days after expiry: full shutdown. The whole site closes until you renew, except the owner's data export.

Your database, orders and customer data stay on your own hosting at every stage. We never delete or download them. Your Store checks in with our licence server about every 12 hours. If it can't reach us, it keeps working on its last check for up to 7 days, so a short outage on our side never locks you.

5. Branding and attribution

Every Store shows a "Powered by KedaiPabz" line with a link to us in the footer. You may not remove, hide, shrink or reword it on any Plan.

Everything else is yours to brand: Store name, logo, colours, mascot and content. You must not use the KedaiPabz name or logo anywhere else, or suggest your Store is run by us.

6. Your responsibilities

You run your Store as your own business. We supply the Software only.

• Your own accounts: REDX, Xavierastore and ToyyibPay, plus any optional services you add. You agree to their terms and pay their fees. We are not party to those agreements.
• Your own infrastructure: domain, hosting, database, email and SSL. The Software needs PHP 8.3 or newer, MySQL 8 or MariaDB 10.6 or newer, and hosting that allows cron jobs.
• Your customers: prices, orders, refunds, support and complaints are between you and your customers.
• Customer data: you are the data user under the Personal Data Protection Act 2010. You need your own privacy notice and must keep your Store secure.
• The law: you are responsible for business registration, tax and any rules that apply to what you sell.
• Backups: keep your own regular backups of files and database. The updater's backups are not a substitute.

7. Updates and support

While your Licence is active, you get every update we release for your Plan, at no extra cost. Updates are signed and installed from your admin (Updates page) or with php artisan kp:update.

• The updater backs up each file it replaces and rolls back automatically if an update fails. You can also undo the last update yourself.
• If you edited a file that an update changes, the updater warns you and backs up your version first. Re-applying your edits is your responsibility.
• Expired Licences receive no updates until renewed.

Support is an optional paid add-on. Plan prices include no support. Tick "Add support" when you buy or renew to get 1 month of support for RM149. This is the same price on every Plan and Licence Period.

• Support starts on the payment date. If you add it while support is still active, the new month starts when the current one ends.
• Your admin's Store licence page shows the date your support ends.
• Support covers installing the Software, using its features and fixing bugs in our code. It's provided by email (admin@kedaipabz.xyz), Monday to Friday, 10am to 6pm Malaysia time, with a reply target of 1 working day. Ultimate Licences with support get priority replies, the same working day.
• It does not cover custom code, your hosting, or problems with REDX, Xavierastore, ToyyibPay or other third parties.
• Without support, you still get every update and bug fix for your Plan while your Licence is active. You just don't get one-to-one help.

8. Warranty, liability, termination and law

No warranty. The Software is provided "as is". We fix bugs we can reproduce, but we don't promise it will be error-free or suit every business.

Third parties. Supplier, payment and API services can change, go down or close your account. We are not liable for their actions, fees, downtime or lost stock.

Limit of liability. Our total liability under this agreement is capped at the fees you paid for your current Licence Period. We are not liable for lost profit, lost orders, lost data or indirect loss. Nothing here limits liability that Malaysian law does not allow to be limited.

Termination. We may suspend or end your Licence, without refund, if you breach section 2 or 5 and don't fix it within 7 days of our notice. Serious breaches, like sharing the code or bypassing the licence check, may be ended immediately. You may stop using the Software at any time.

Changes. We may update this agreement for future renewals, with at least 30 days' notice of material changes.

Law. This agreement is governed by the laws of Malaysia. Disputes go to the courts of Malaysia.

Part B: Terms of sale

9. Ordering, payment and delivery

These terms apply when you buy or renew a KedaiPabz Kit Licence. By paying, you also accept the Licence Agreement in Part A.

• Prices are in Malaysian Ringgit (RM), as shown in section 3 and on our pricing page. No SST is added: the price shown is the price you pay.
• Payment is made online through ToyyibPay (DuitNow QR or FPX). Your Licence is issued only after payment is confirmed.
• What you get: a licence number, a Main Key, a Backup Key, the Software download and the setup guide, sent to your email within 24 hours of payment.
• Your details (name, email, Domain) must be correct. Keys are tied to the Domain you activate on.
• Renewals are paid on our renewal page and applied to your existing Licence automatically. You can tick the support add-on on the same payment.
• Receipts are sent by email. Ask us if you need one made out to a company.

10. Refunds

A new Licence can be refunded in full if it has never been installed. Ask within 7 days of payment.

• "Never installed" means our licence server shows no activation or check-in from any Domain using your keys. Our licence server records are final on this.
• Once installed, a Licence is not refundable, even if you stop using it.
• Renewals are not refundable, because they extend a Licence that is already installed. The support add-on is refunded only together with a never-installed Licence.
• How to ask: email admin@kedaipabz.xyz with your licence number. Approved refunds go back to the original payment method within 14 days, and the keys are cancelled.
• This does not affect any rights you have under Malaysian law that cannot be excluded.
